Antitrust approval for Stahl-Henkel, buyback at Tecnica Group

Antitrust approval for Stahl-Henkel, buyback at Tecnica Group

Two transactions set to reshape two groups can now be considered complete: the European Commission has approved the Stahl-Henkel transaction, which the parties had already agreed to back in winter 2026. Antitrust authority found that the concentration wouldn’t significantly affect competition. In addition, the Zanatta family is buying back a 9.09% stake in Tecnica Group from Italmobiliare for €50 million.

The Stahl-Henkel transaction

The European Commission has approved Henkel’s (Germany) acquisition of sole control of Stahl (Netherlands). The parties announced the deal last February. For €2.1 billion, Henkel purchased the stakes held by Stahl’s majority shareholder, the French private equity firm Wendel, and by minority shareholders Basf and Clariant (which together held more than 30%). According to the press release, under the EU Merger Regulation, the Commission considers that the transaction doesn’t raise competition concerns because its impact on the relevant markets is limited.

News at Tecnica Group

The Zanatta family, through the vehicle Prime Holding, has repurchased a 9.09% stake in Tecnica Group from Italmobiliare for €50 million. The transaction had been announced in August, and Tecnica Group’s share capital is now 69.09% held by the Zanatta family and 30.91% by Italmobiliare. “With today’s closing, we’re strengthening our presence in the company’s capital”, Tecnica Group president Alberto Zanatta told Milano Finanza, “confirming our long-term commitment through a concrete investment”.
